Product: Transduce (internal/code name: AI2Film) Licensor: FxTrak Inc, a California corporation Effective date: 2026-08-05
By downloading, installing, or using Transduce ("the Software"), you agree to be bound by this Agreement. If you do not agree, do not install or use the Software. If you are entering this Agreement on behalf of a company or other legal entity, you represent you have authority to bind that entity.
Subject to your compliance with this Agreement and payment of the applicable fee, Licensor grants you a limited, non-exclusive, non-transferable license to install and use the Software, for so long as your license remains entitled under this Section, solely for your own internal creative/ production purposes.
You may not: - Share, publish, or distribute your license file to anyone else, or use a license file issued to someone else. - Reverse-engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction. - Remove or alter any copyright, trademark, or other proprietary notice. - Redistribute, resell, sublicense, or rent the Software itself (this does not restrict your ownership of, or right to redistribute, output files you create using the Software — see Section 5). - Use the Software to process content you do not have the legal right to process. - Circumvent, disable, or interfere with license validation.
The Software supports installing additional modules — including community-authored ones — that extend its Decoder, Encoder, Effects, and Analysis functionality. Community modules are third-party software, not authored, reviewed, or warranted by Licensor. Installing a module is your own decision and at your own risk. Licensor provides install-time safeguards (an explicit consent dialog, a block on binary files) but does not currently perform automated static-security scanning of community module code before you install it, and does not guarantee any module is safe, functional, or free of defects. Licensor may maintain a revocation list for modules known to be malicious or broken and may disable a revoked module's ability to load.
You retain all rights to the source footage you process and the output files the Software produces. Licensor claims no ownership over, and makes no use of, your content. Processing happens locally on your machine — the Software does not upload your source footage or rendered output to Licensor's servers as part of normal operation.
The Software, including its source code, design, and documentation
(excluding the third-party open-source components listed in
THIRD_PARTY_LICENSES.md, which remain under their own licenses), is and
remains the property of Licensor. This Agreement does not transfer any
ownership rights to you.
Licensor may release updates, patches, or new versions. Depending on your license model (Section 2), some updates may require an active subscription or a separate purchase. Licensor is not obligated to support any particular past version indefinitely.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Licensor does not
warrant the Software will be error-free, uninterrupted, or that any
particular colour/export result will meet your expectations.
[Standard cap — confirm the dollar figure and structure with counsel:]
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY ARISING
OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID
FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM. LICENSOR IS NOT
LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES,
INCLUDING LOSS OF DATA, PROFITS, OR PRODUCTION TIME, EVEN IF ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES.
This license terminates automatically if you breach this Agreement. Licensor may also terminate or suspend a specific license for fraud, abuse, or non-payment (subscription model). Upon termination, you must stop using the Software; Sections 5, 6, 8, and 9 survive termination.

ONNX Runtime, Florence-2, SAM2/SAM3) and processes AI-generated media —
worth a real export-control review before international sale, not just
boilerplate language, if this hasn't been checked already.]
This Agreement is governed by the laws of California — the state FxTrak Inc is incorporated in, per Scott's 2026-08-05 call to keep this consistent with the entity's own state rather than picking a separate venue — without regard to conflict-of-law principles.
Licensor may update this Agreement for future versions of the Software. Continued use after an update constitutes acceptance of the revised terms.
